Authorization

These terms govern the website development agreement and monthly retainer agreement between Foxfang and its clients. You are acquiring the services of Foxfang LLC as an independent contractor to provide services and conduct work consistent with the verbal and written agreements made between the two parties. You are authorizing Foxfang to access and have "write permissions" for whatever is necessary to perform the work.

Ownership and Copyright

The website code belongs to both Foxfang and the client. (If you want to go, we'll miss you, but you can keep a copy of your website code if we built it for you.) The content belongs to the client. Foxfang does not assume liability for the content of any website we build or maintain for another party.

For the sake of the public integrity of our work, Foxfang does retain final say over decisions related to design.

Refusal of Service

Foxfang may refuse service to any party or website deemed offensive or malicious for any reason.

Payments and Pricing

Price estimates appearing on Foxfang materials (such as this site) are subject to change without notice. As a client, you authorize us to charge the payment method you submit to invoices or recurring payment subscriptions.

Your monthly recurring services can be cancelled by either party at any time. To cancel, simply contact us prior to your payment date. No refunds are available unless predetermined and granted by Foxfang.

Third-Party Involvement

Foxfang is pleased to work with other client partners. We are, of course, not liable for any third-party or client edits to our websites or unintended consequences that may need resolved resulting from such edits, but we will likely be happy to help.

Limitation of Liability and Disclaimer of Warranties

We want to have an excellent business relationship with you and we will do our best to deliver high-functioning websites. However, we cannot warrant or guarantee total freedom from hacking, loss, interference, or other security intrusions or hardware/software failure, nor will the operation of webpages and software components be uninterrupted or error-free.

Our websites are presented "as is" and "as available", without warranties of any kind. Use of these is at your own risk (thankfully, there is rarely much risk in using a website). We will do everything we can do address issues that impact your business, but we are not ultimately liable for any damages, including, but not limited to, loss of profits, savings, data, business, or function, whether incidental or consequential.

Governance

Our terms and work are governed by the laws of Idaho without giving effect to its conflict of laws provision. By entering into an agreement with Foxfang, you expressly agree that the exclusive jurisdiction for any claim or dispute with us resides within the courts of Ada County in the state of Idaho.
